What is the role of the Board of Directors?

A board of directors is the senior management of a company and has 3 roles.

1. The Board of Directors shall put together the Executive Board, including the framework, tasks and interfaces between the Executive Board and the Board of Directors.

2. The Board of Directors shall monitor a number of factors, including the company's capital preparedness, risk management and management, etc.

3. The Board of Directors acts as sparring partner for the Executive Board and it is precisely in the role that the Board of Directors creates the most value.

However, one problem that often arises is that many meetings end up as the drawing shows below. Too much time has passed with backward-looking things, controls or anything else it reminds more of operational problems.

Therefore, we always recommend that board meetings be built around an agenda that reflects the strategy the company works based on - it can be complicated as there are often many documents involved, but fortunately MakeMyStrategy™ is now available to both management and board:-)
